1. Introduction and Acceptance

Welcome to StallWise ("Service," "Platform," or "StallWise"), a professional equestrian facility management software-as-a-service ("SaaS") product operated by Showsafe LLC ("Company," "we," "us," or "our").

By accessing or using the Service, including our website at app.stallwise.com, our web application, our mobile applications for iOS and Android, or any related APIs and services, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including facility owners, managers, staff members, trainers, and any other individuals granted access through an account holder.

2. Service Description

StallWise is a comprehensive equestrian facility management platform designed for professional barns, training facilities, and equestrian operations. The Service provides tools for:

• Horse Management -- Maintaining detailed records for horses including health, training, feeding, and documentation.
• Client Management -- Tracking client relationships, billing, and communications.
• Facility Operations -- Managing stalls, arenas, pastures, and other facility resources.
• Event and Show Management -- Scheduling, entries, and results tracking for equestrian events.
• Financial Management -- Invoicing, payments, expense tracking, and financial reporting.
• Health and Veterinary Records -- Vaccination schedules, veterinary visits, farrier records, and medical histories.
• Staff Management -- Scheduling, task assignment, and staff communications.
• Feeding Programs -- Customized feeding schedules and nutrition management.
• Training Logs -- Session tracking, progress notes, and training programs.
• Inventory Management -- Feed, supplies, equipment, and tack tracking.
• Reporting and Analytics -- Business intelligence and operational reports.
• Messaging -- Internal communication tools for staff and clients.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age and capable of forming a binding contract to create an account and use the Service. By registering, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

To use the Service, you must register for an account by providing accurate, current, and complete information including your name, email address, and facility details. You agree to update your information as needed to keep it accurate.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Create a strong, unique password for your account.
• Not share your login credentials with unauthorized individuals.
• Immediately notify us of any unauthorized access to or use of your account.
• Accept responsibility for all activities that occur under your account.

3.4 Sub-Accounts and Team Access

Account holders may invite additional users (staff members, trainers, clients) with varying permission levels based on their subscription plan. The primary account holder is responsible for all sub-account activity and for ensuring all users comply with these Terms.

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Service is available in the following subscription tiers:

4.2 Free Trial

New accounts are eligible for a 30-day free trial with full access to all features at the Enterprise level. No credit card is required to begin a trial. At the end of the trial period, you must select a paid subscription plan to continue using the Service. If you do not subscribe, your account will be placed in a read-only state, and you will have 30 days to export your data before it is scheduled for deletion.

4.3 Billing

• Subscriptions are billed monthly in advance on the anniversary of your subscription start date.
• All prices are in United States Dollars (USD) unless otherwise stated.
• Payment is processed through our third-party payment processor, Stripe. Your use of Stripe is subject to the Stripe Services Agreement.
• You authorize us to charge your designated payment method for all applicable subscription fees.
• Applicable sales tax, VAT, or other government-imposed fees will be added where required by law.

4.4 Plan Changes

Upgrades: You may upgrade your subscription at any time. Upgrades take effect immediately, and you will be charged a pro-rated amount for the remainder of your current billing period.

Downgrades: You may downgrade your subscription at any time. Downgrades take effect at the start of the next billing period. If your current usage exceeds the limits of the lower plan (e.g., number of horses or users), you must reduce your usage to within the new plan's limits before the downgrade takes effect.

4.5 Cancellation

You may cancel your subscription at any time through the Service settings or by contacting our support team. Upon cancellation:

• Your subscription remains active through the end of your current paid billing period.
• No further charges will be made after the current period ends.
• Your account will transition to read-only mode at the end of the paid period.
• You will have 30 days in read-only mode to export your data.
• After 30 days in read-only mode, your account and data will be scheduled for permanent deletion.

4.6 Refunds

We offer pro-rated refunds under the following conditions:

• Service Outage: If the Service experiences downtime exceeding 24 consecutive hours due to issues within our control, you are entitled to a pro-rated credit for the affected period.
• Billing Errors: If you are charged incorrectly, we will issue a full refund of the erroneous amount.
• Early Cancellation: If you cancel within 14 days of a renewal charge and have not made substantial use of the Service during that period, you may request a pro-rated refund.
• Discretionary: All other refund requests are handled on a case-by-case basis at our discretion.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree to use the Service only for its intended purpose of equestrian facility management and in compliance with all applicable laws.

6. Data Ownership and Intellectual Property

6.1 Your Data

You grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.

6.2 Our Intellectual Property

The Service, including its software, design, features, documentation, and all related intellectual property, is and remains the exclusive property of Showsafe LLC. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize such Feedback without obligation to you.

6.4 Data Export

You may export Your Data at any time through the Service's export functionality. We support export in common formats including CSV and PDF. Upon account termination, you will have a reasonable period (no less than 30 days) to export Your Data.

7. Service Availability and Uptime

7.1 Uptime Target

We target 99.9% uptime for the Service, measured on a monthly basis. This target excludes:

• Scheduled maintenance windows (which will be communicated in advance when possible).
• Force majeure events beyond our reasonable control.
• Issues caused by your equipment, software, or network connectivity.
• Third-party service outages (e.g., payment processors, cloud infrastructure providers).

7.2 Maintenance

We may perform scheduled maintenance that temporarily limits Service availability. We will make reasonable efforts to schedule maintenance during off-peak hours and to provide advance notice via email or in-app notification.

7.3 No Warranty of Uninterrupted Service

While we strive for high availability, we do not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, or security breaches.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHOWSAFE LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

8.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8.4 Equestrian-Specific Disclaimer

The Service provides tools for record-keeping and facility management. It is not a substitute for professional veterinary, medical, legal, or financial advice. You are solely responsible for the health and safety decisions you make regarding animals, facilities, and personnel. We accept no liability for outcomes resulting from decisions made based on information stored in or generated by the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Showsafe LLC and its officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to:

• Your use of or access to the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any data or content you submit, store, or transmit through the Service.
• Any dispute between you and a third party arising from your use of the Service.

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through the Service settings or by contacting support.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time if:

• You violate these Terms or the Acceptable Use Policy.
• Your subscription payment fails and remains unpaid for more than 15 days after notice.
• We are required to do so by law or legal process.
• We reasonably believe your account has been compromised.
• We discontinue the Service (with at least 90 days' prior notice).

10.3 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases (except for a 30-day data export window where applicable).
• Provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 8, 9, 11, and 12.
• We will delete Your Data in accordance with our data retention practices described in our Privacy Policy.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and the language of the arbitration shall be English. The arbitrator's decision shall be final and binding.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property rights or unauthorized access to the Service.

11.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

12. General Provisions

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before they take effect.

12.2 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Showsafe LLC regarding the Service.

12.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service failures.
